MayFair Leads - Terms & Conditions

These Terms and Conditions ("Terms") govern the use of the affiliate marketing platform and related services (the "Platform") operated by MayFair Leads B.V. ("MayFair Leads", "MFL", "we", "us" or "our"), a company incorporated under the laws of the Netherlands, with its registered office in Amsterdam, the Netherlands.
By registering for an account, accessing, or using the Platform, you ("you", "User", "Partner") confirm that you have read, understood, and agree to be bound by these Terms. These Terms apply to both Publishers (also referred to as Affiliates or Partners) and Advertisers. Where a provision applies only to one category of User, this is stated explicitly. If you do not agree to these Terms, you must not register for or use the Platform.
These Terms should be read together with our Privacy Policy and Cookie Policy, which are incorporated by reference, and with any Insertion Order, campaign-specific terms, or program rules agreed between the parties.
1. Definitions

Advertiser: a User that provides offers, products, services, advertising material, and/or landing pages to be promoted on the Platform in order to acquire leads, sales, sign-ups, or other conversions.

Publisher / Affiliate / Partner: a User that generates and directs traffic, leads, or sales to an Advertiser's Offer through its own websites, apps, email lists, social channels, or other marketing methods, in exchange for Commission.

Platform: the MayFair Leads network interface, tracking technology, dashboards, reporting tools, and related services made available at https://mayfairleads.com and any associated subdomains or applications.

Program / Campaign: a specific affiliate marketing program set up by an Advertiser on the Platform, including its associated Offer, creatives, landing pages, commission structure, and program-specific rules.

Offer: the product, service, promotion, or landing page that an Advertiser makes available for promotion by Publishers within a Program.

Insertion Order: the document, order form, or written (including email) confirmation agreed between MayFair Leads and an Advertiser that sets out the commercial terms of a Program, including commission and payment terms.

Conversion / Lead / Sale: a qualifying action generated by a Publisher's traffic and recorded through MayFair Leads' tracking technology in accordance with the applicable Program rules.

Commission: the remuneration payable to a Publisher for validated Conversions, as specified in the applicable Program.

Tracking: the technology (including tracking links, pixels, postbacks, and cookies) used by MayFair Leads to record and attribute Conversions to the correct Publisher and Program.

End User / Consumer: any natural person who is exposed to a Publisher's marketing or an Advertiser's Offer.
2. Purpose and Role of MayFair Leads
MayFair Leads operates an affiliate marketing network that connects Advertisers seeking to acquire customers with Publishers who have access to relevant traffic. MayFair Leads provides the Platform, Tracking technology, reporting, invoicing, and payment facilitation that make it possible for Advertisers and Publishers to work together.
MayFair Leads acts solely as an intermediary and technology provider. We are not a party to, and do not control, the underlying commercial relationship between an Advertiser and a Publisher, or between either of them and any End User.
MayFair Leads does not create, own, verify, endorse, or take responsibility for the content, quality, legality, accuracy, or performance of any Advertiser's products, services, or Offers, nor for the marketing methods, communications, traffic sources, or content used or published by any Publisher.
Advertisers are solely responsible for their Offers, landing pages, products, services, and any statements made about them. Publishers are solely responsible for their own traffic, marketing channels, and the manner in which they promote an Offer. Any dispute, claim, or liability arising between an Advertiser, a Publisher, and/or an End User is a matter between those parties, and MayFair Leads accepts no liability in that regard except to the extent required by mandatory Dutch or EU law.
3. Eligibility, Registration and Accounts

You must be a legal entity or a natural person with full legal capacity to enter into binding agreements. Individuals must be at least 18 years old.

You must provide accurate, complete, and current information during registration (including company details, tax/VAT identification, contact details, and payment/banking information) and keep this information up to date at all times.

MayFair Leads may verify submitted information, including through fraud-prevention and identity-verification tools (which may involve automated or AI-supported checks), and may request supporting documentation at any time.

MayFair Leads reserves the sole and unconditional right to approve, reject, suspend, or refuse any application or account, without being obliged to state a reason, and without liability for doing so.

Each User may hold only one active account unless MayFair Leads agrees otherwise in writing. Accounts are personal to the User and may not be sold, transferred, or shared without our prior written consent.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
4. How the Platform Works
Advertisers set up Programs on the Platform, including Offers, creatives, landing pages, tracking parameters, and commission structures, either directly or as agreed with MayFair Leads in an Insertion Order. Publishers may apply to join a Program; MayFair Leads may accept Publishers on behalf of an Advertiser unless the Advertiser has expressly reserved this right for itself.
A contractual relationship in respect of a specific Program is considered formed once a Publisher is accepted into that Program, either by the Advertiser directly or by MayFair Leads acting on the Advertiser's behalf. MayFair Leads' Tracking technology is the authoritative source for recording and attributing Conversions, unless otherwise agreed in writing.
5. Obligations of Advertisers
In addition to any obligations set out in a specific Insertion Order, each Advertiser agrees that:

Its Offer, landing pages, advertising material, and any products or services promoted through the Platform are lawful, accurate, not misleading, and comply with all applicable laws and regulations, including but not limited to consumer protection, advertising, e-commerce, product safety, and sector-specific regulations (e.g. for financial, health, gambling, or age-restricted products).

It will not materially change the content, message, pricing, redirect destination, or substance of an Offer or landing page without giving MayFair Leads at least 48 hours' prior written notice, except where an immediate change is required to remove unlawful or unsafe content, in which case notice will be given as soon as reasonably possible. Publishers must never be directed, without adequate notice, to a materially different or unlawful offer than the one they agreed to promote.

It will not use, alter, or manipulate MayFair Leads' Tracking technology, and will promptly notify MayFair Leads of any known tracking malfunction. Where an Advertiser's own actions (such as taking a Program offline or altering tracking settings without notice) cause false or missing tracking data, the Advertiser is responsible for compensating the resulting loss of Commission to affected Publishers, as reasonably determined by MayFair Leads.

It will review and approve or reject reported Conversions for each calendar month within 14 days after the end of that month (or, where a different period is set out in the applicable Insertion Order, within that period). Conversions neither approved nor rejected within the applicable period will be automatically confirmed.

It grants MayFair Leads and its Publishers a limited, non-exclusive, non-transferable licence to use its name, logo, trademarks, and advertising materials solely for the purpose of operating and promoting the relevant Program.

It will pay all amounts owed to MayFair Leads in accordance with the applicable Insertion Order and these Terms, including in respect of Commission generated by Publishers.

It is solely responsible for any claims, fines, or damages arising from its Offer, products, services, or promotional content, including claims brought by End Users, Publishers, or regulators.
6. Obligations of Publishers / Affiliates
In addition to any Program-specific rules, each Publisher agrees that:

It will only generate and direct traffic using lawful, honest, and Program-approved marketing methods, and will comply with all applicable laws, including consumer protection, advertising, e-commerce, and telecommunications/e-marketing laws (including the Dutch Telecommunicatiewet and the GDPR).

It will never send unsolicited commercial electronic messages (spam) and will only send marketing emails, SMS, or push messages to recipients who have given valid, verifiable prior consent (opt-in) in accordance with applicable law. Unsubscribe and opt-out requests must be honoured immediately and without exception.

Its marketing communications, creatives, and landing pages must accurately and fairly represent the Advertiser's Offer. A Publisher must never alter, embellish, or misrepresent an Offer's terms, pricing, availability, or nature in a way that could mislead a Consumer, and must not present an Offer through claims, imagery, or channels not approved by the Advertiser or MayFair Leads.

It will not generate traffic, leads, or sales through fraudulent, automated, or artificial means, including but not limited to: the use of bots or scripts, incentivized or fake leads, cookie-stuffing or forced clicks, click injection, IP spoofing, or any technique designed to create the false impression of a genuine Conversion.

It will not use an Advertiser's or MayFair Leads' trademarks, brand names, or brand variations (including in domain names, paid search campaigns, or tags) without prior written permission, and will not engage in brand bidding where prohibited by a Program's rules.

It is solely responsible for its own websites, apps, social media accounts, email lists, and other marketing channels, and for ensuring that any content it publishes (including on landing pages it controls) is lawful and does not infringe the rights of any third party.

It will immediately cease promoting an Offer if instructed to do so by MayFair Leads or the relevant Advertiser, including where a Program is paused, suspended, or terminated.

It will maintain accurate account, tax, and payment details, and is responsible for its own tax obligations relating to Commission received.
7. Zero-Tolerance Policy and Prohibited Conduct
MayFair Leads applies a zero-tolerance approach to unlawful, fraudulent, or harmful conduct on the Platform. Without limiting Sections 5 and 6 above, no User may, in connection with the Platform or any Program:

Engage in or facilitate illegal activity of any kind, including the promotion of illegal products or services, fraud, or activity that infringes third-party rights;

Send spam or unsolicited communications, or otherwise fail to respect opt-out, unsubscribe, or do-not-contact requests;

Publish or use content that is deceptive, misleading, defamatory, discriminatory, sexually explicit, violent, or otherwise unlawful or offensive;
-
Attempt to gain unauthorised access to the Platform, other Users' data, or MayFair Leads' systems, or introduce viruses, malware, or other harmful code;

Interfere with, disrupt, manipulate, or circumvent MayFair Leads' Tracking or reporting systems;

Collect, use, or disclose personal data of End Users other than as permitted by applicable data protection law and the Privacy Policy;

Impersonate any person or entity, or misrepresent an affiliation with any person or entity.
Any breach of this Section, or of Sections 5 or 6, is treated as a material breach of these Terms. MayFair Leads may, at its sole discretion and without prior notice, suspend or terminate the responsible User's access to the Platform with immediate effect, withhold or reclaim Commission or fees associated with the breach, remove any related content or Program, and take any further action available to it under these Terms or applicable law.
8. Compliance, Monitoring and Enforcement

MayFair Leads may monitor traffic, transactions, and account activity, including through automated and AI-assisted fraud-detection tools, to help ensure compliance with these Terms and applicable law.

MayFair Leads may request evidence of compliance (such as consent records, traffic sources, or marketing materials) from any User at any time.

Where MayFair Leads reasonably believes a User is in breach of these Terms or applicable law, it may suspend the account and/or withhold related payments pending investigation.

MayFair Leads may share relevant information with an affected Advertiser or Publisher, or with regulators or law enforcement, where necessary to investigate or address a suspected breach, unlawful conduct, or fraud.
9. Commissions, Fees and Payments
9.1 Publisher Commission

Commission is calculated based on validated Conversions recorded by MayFair Leads' Tracking, in accordance with the rates and structure set out in the applicable Program.

Once a Conversion has been approved (including through auto-confirmation under Section 5), MayFair Leads will pay the corresponding Commission to the Publisher on a NET15 basis, i.e. within 15 days after the end of the calendar month in which the Conversion was approved, subject to the agreed minimum payout threshold and provided the Advertiser has sufficient funds available in its account.

Approved Conversions are, save in cases of established fraud or a Publisher's breach of these Terms, final; MayFair Leads does not permit claw-back of properly approved and paid Commission other than in such cases.

MayFair Leads may withhold, adjust, or reclaim Commission that is later found to result from fraudulent, incentivized, invalid, or non-compliant traffic.
9.2 Advertiser Fees

Advertisers pay MayFair Leads the fees set out in the applicable Insertion Order, which may include Commission amounts, network fees, and/or a prepaid account balance.

Invoices are payable within 30 days of the invoice date unless otherwise agreed. MayFair Leads may charge statutory interest and reasonable administrative costs on overdue amounts in accordance with Dutch law.

If an Advertiser's account balance falls below the required minimum, MayFair Leads may pause the relevant Program until sufficient funds are available.

All fees and Commission are exclusive of VAT/BTW, which will be applied where legally required.
10. Intellectual Property
The Platform, including its software, design, tracking technology, trademarks, and the MayFair Leads name and logo, is owned by or licensed to MayFair Leads and is protected by intellectual property laws. Nothing in these Terms transfers ownership of any such rights to any User.
Each User grants MayFair Leads a limited, non-exclusive, worldwide licence to store, reproduce, and display materials it submits to the Platform (such as advertising creatives, logos, or landing pages) solely to the extent necessary to operate the relevant Program. Advertisers and Publishers may use each other's names, logos, and approved materials solely as permitted under the applicable Program and for no other purpose.
11. Confidentiality
Each party will keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Platform (including commission structures, Program terms, and performance data), and will use it only for the purposes of the relevant Program, unless disclosure is required by law or with the disclosing party's prior consent. This obligation survives termination of a User's account.
12. Disclaimers and Limitation of Liability

The Platform is provided "as is" and "as available". MayFair Leads does not guarantee that the Platform will be uninterrupted, error-free, or fully secure, and reserves the right to modify, suspend, or discontinue any part of the Platform at any time.

MayFair Leads gives no warranty, express or implied, as to the quality, legality, accuracy, or suitability of any Advertiser's Offer, products, or services, or of any Publisher's traffic, marketing methods, or content, and is not responsible for the outcome of any transaction between an Advertiser, a Publisher, and/or an End User.

To the maximum extent permitted by Dutch law, MayFair Leads shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profit, revenue, business, goodwill, or data, arising out of or in connection with the Platform or these Terms.

To the maximum extent permitted by Dutch law, MayFair Leads' total aggregate liability towards a User arising out of or in connection with these Terms shall not exceed the total fees or Commission paid or payable to (or, for Advertisers, invoiced by MayFair Leads to) that User in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable Dutch law, including liability for intent (opzet) or gross negligence (grove schuld) on the part of MayFair Leads.
13. Indemnification
Each User agrees to indemnify and hold harmless MayFair Leads, its directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) that User's breach of these Terms or applicable law; (b) that User's Offer, products, services, traffic, marketing content, or conduct; (c) any claim brought by an End User, another User, a third party, or a regulator relating to that User's activity on the Platform; or (d) any infringement of a third party's intellectual property or other rights caused by that User.
14. Term, Suspension and Termination

These Terms apply for as long as a User holds an active account on the Platform.

Either party may terminate the relationship for convenience by giving 30 days' written notice, unless a specific Insertion Order states otherwise.

MayFair Leads may suspend or terminate a User's account immediately and without notice in the event of a material breach of these Terms (including any conduct described in Section 7), suspected fraud or illegal activity, non-payment, or where required by law or by a competent authority.

Upon termination, any Commission validly earned and fees validly due prior to the termination date remain payable in accordance with these Terms; MayFair Leads may withhold amounts reasonably related to an ongoing investigation into a suspected breach.

Sections dealing with intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive termination.
15. Changes to these Terms
MayFair Leads may amend these Terms from time to time to reflect changes in its services, legal or regulatory requirements, or business operations. Material changes will be notified to Users by email or through the Platform at least 14 days before they take effect, save where a shorter period is required for legal or security reasons. Continued use of the Platform after the effective date of a change constitutes acceptance of the amended Terms.
16. Governing Law and Disputes
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of the Netherlands, excluding its conflict-of-law rules. The parties will first attempt in good faith to resolve any dispute through direct negotiation. If a dispute cannot be resolved amicably within a reasonable period, it will be submitted to the exclusive jurisdiction of the competent court of Amsterdam, the Netherlands, without prejudice to any mandatory consumer-protection rules that may apply.
17. Miscellaneous

Entire agreement: these Terms, together with the Privacy Policy, Cookie Policy, and any applicable Insertion Order, form the entire agreement between the parties regarding the Platform, superseding any prior agreements on the same subject.

Severability: if any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by a valid one that most closely reflects its original intent.

No waiver: a failure by MayFair Leads to enforce any provision of these Terms does not constitute a waiver of that or any other provision.

Assignment: Users may not assign or transfer their rights or obligations under these Terms without MayFair Leads' prior written consent. MayFair Leads may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to notifying affected Users.

Force majeure: neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control.

Independent parties: nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between MayFair Leads and any User.

Language: these Terms are made available in [English/Dutch]; in the event of any conflict between language versions, the [English] version prevails, unless mandatory law provides otherwise.
